Two or more legal persons
Each proposed member must be a legal person carrying on business. Two trade licences held by the same legal person are not automatically two eligible group members.
Related companies · one VAT TRN · one group return
Several related companies can sometimes register together for VAT—but shared ownership alone is not enough. SAIF helps you test eligibility, compare the VAT effect and prepare a supported application for the Federal Tax Authority.

The short answer
An approved UAE VAT group treats eligible related legal persons as one taxable person for VAT. The group has one Tax Registration Number (TRN), one consolidated VAT return and a representative member. Transactions between approved group members are generally disregarded for VAT, while external sales and purchases still require the correct VAT treatment.
The separate legal entities do not disappear. Each member’s books, invoices, adjustments and VAT data must feed a reconciled group return. Members are jointly and severally liable for group VAT obligations during their membership. The FTA tax-groups guide explains both the simplification and the risk.
How the reporting fits together
Use this structure to discuss the flow with your finance teams. It describes an approved group—not the position while an application is pending.
Internal supplies between approved members are generally disregarded for VAT. External transactions still need correct VAT treatment and member-level records. Grouping does not merge the entities for company law or Corporate tax.
Eligibility before filing
The FTA assesses the facts behind each proposed member. The structure chart, shareholding and signatory evidence must tell the same story as the EmaraTax application.
Each proposed member must be a legal person carrying on business. Two trade licences held by the same legal person are not automatically two eligible group members.
Each member needs a place of establishment or fixed establishment in the UAE. A UAE licence alone may not answer a complex cross-border establishment question.
The entities must have economic, financial and organisational ties and satisfy the control test. We map actual voting, ownership and contractual arrangements—not only common names or sponsors.
Test the proposed group against the applicable VAT registration requirements and the FTA service-card conditions. A holding structure with no relevant activity needs particular care.
The FTA guide also describes grounds on which the Authority may refuse formation or an amendment, including an unmet eligibility test or a significant public-revenue risk. A group should be commercially and administratively workable, not just attractive because it would reduce the number of returns.

One return can reduce filing administration, but it also creates shared liability and demands reliable data from every member. Model the group before deciding.
| Decision point | Approved VAT group | Separate registrations |
|---|---|---|
| VAT TRN and returns | One group TRN and one consolidated return | Each registered entity uses its own TRN and files its own return |
| Member-to-member supplies | Generally disregarded for VAT while both are approved members | Normal VAT analysis applies to supplies between separate taxable persons |
| Accounting evidence | Each member’s records still feed the group reconciliation | Each entity reconciles its own return |
| Tax debt | Members are jointly and severally liable during membership | VAT liability is assessed by each registration |
| Changes in ownership | May require a group amendment and reassessment of eligibility | Entity registration changes are handled individually |
Input-tax recovery and partial exemption also deserve modelling where taxable and exempt activities differ between members. Do not assume grouping always improves recovery or cash flow.
How SAIF supports an application
Our work begins with the legal-person and VAT facts. A signed chart is useful only if it reflects the real control arrangement, registration history and business activity. We agree whether the engagement covers advice, application preparation, EmaraTax submission through an authorised account, or ongoing group-return support.
Identify the legal persons, branches, trade licences, existing TRNs, owners, signatories, establishment and actual supplies.
Document the related-party and control position, financial and organisational links, turnover and the proposed grouping date.
Compare group and separate registrations, including intra-group dealings, external sales, input-tax recovery, mixed activities and joint liability.
Agree the representative member, reconcile turnover declarations, assemble licences, authority documents, signed structure chart and member consent letters.
Apply through the representative member’s EmaraTax account, answer FTA queries, and update invoices, ERP settings and return processes only from the approved effective date.
FTA application pack
The FTA’s current tax-group registration service card lists documents for members already VAT-registered and directs unregistered proposed members to the relevant registration requirements. A completed group application normally needs a clean ownership and turnover trail.
The proposed representative member submits through its EmaraTax account. The FTA lists no government service fee and estimates 20 business days to complete a fully documented application; that estimate does not guarantee approval or replace any response to FTA queries.
Turnover declarations and the figures entered in the portal should agree. A mismatch can affect the effective date or the treatment of a member’s tax identification number. We reconcile those figures before submission rather than correcting them after a query.
After the group is approved
An acquisition, disposal, restructuring or change in business activity can alter the group’s eligibility. The representative member must use the appropriate FTA group-amendment process to add or remove a member or change the representative. Leaving a group can create a separate VAT registration requirement for the departing entity.
The FTA guide says a representative member must notify the Authority within 20 business days when a member ceases to meet the grouping criteria. The same guide addresses disbanding the whole group. Effective dates are determined under the FTA process; do not change invoicing or the TRN merely because a board decision has been signed.
VAT group changes should also be coordinated with entity VAT deregistration, group return filing, accounting-system settings and any separate Corporate tax analysis.
Common business questions
These general answers are based on current FTA publications. The ownership documents, turnover, VAT activity and approved effective date determine a real application.
It is an FTA-approved registration under which two or more eligible legal persons are treated as one taxable person for VAT. The group uses one VAT Tax Registration Number and submits one VAT return through its representative member.
No. Common ownership is a starting point, not approval. The businesses must meet the legal-person, UAE-establishment, related-party, control and VAT registration criteria. The FTA reviews the application and can refuse it.
Potentially, if each legal person meets the VAT-group conditions. A free-zone licence does not automatically exclude or qualify a member. VAT treatment of designated-zone goods and any Corporate tax free-zone position must be analysed separately.
A branch is generally part of the same legal person, not a second legal person merely because it has another licence. First establish the legal identities and existing VAT registration before deciding whether there are two group members.
Not necessarily. The FTA guide explains a route where the proposed representative member has not previously registered, and the current service card has requirements for unregistered proposed members. The application and turnover information must be consistent.
One group member is nominated to act for the VAT group. The application is submitted through that member’s EmaraTax account, and the group’s VAT returns are made in its name. Appointment does not remove the other members’ joint liability.
The approved group uses a single VAT TRN. Each company remains a separate legal entity for other purposes, so accounting records and member-level transaction data must still be maintained.
Transactions between approved members are generally disregarded for VAT while they are in the group. The treatment begins on the FTA-approved effective date; do not stop charging VAT simply because an application was submitted. Keep records of internal transactions for accounting and other tax purposes.
No. The representative member files a consolidated VAT return, but it needs reconciled figures and supporting tax records from every member. A shared TRN is not permission to lose the separate company ledgers.
Yes. The FTA tax-group guide states that members are jointly and severally liable for the group’s VAT debts and obligations for the periods during which they were members. Model this risk before grouping.
The current service card lists licences, signatory identity and authority documents, a signed turnover declaration, a signed group-structure chart with ownership and signatories, and a no-objection letter from each member authorising the representative member. The exact list varies for registered and unregistered proposed members.
The FTA directs the proposed representative member to sign in, open the taxable-person account and select Register under Tax Group. Prepare the eligibility analysis and signed evidence first. A saved or submitted application does not itself establish the group.
The FTA service card currently estimates 20 business days from receipt of a completed application. This is an authority estimate, not a guaranteed approval date; information requests or eligibility issues can affect timing.
The FTA currently lists the government service as free. Professional assessment, records work, application preparation and later compliance support are separate services and depend on the agreed scope.
Yes, through an FTA tax-group amendment by the representative member. A departing member may need its own VAT registration. If a member ceases to meet the grouping criteria, the FTA guide says the representative member must notify the Authority within 20 business days.
An approved group can be disbanded through the FTA procedure. Consider the reason, the final group VAT position and whether each former member must register separately. Do not confuse group deregistration with cancelling one company’s trade licence or TRN.
No. UAE VAT and Corporate tax have different grouping tests, applications and consequences. A VAT group does not automatically create a Corporate tax group, and internal VAT disregarding does not settle transfer-pricing or free-zone Corporate tax questions.
Yes. We can assess eligibility and compare the practical VAT and reporting effects against separate registrations. Where grouping is suitable, the agreed scope can include the evidence pack, EmaraTax application and a post-approval reporting plan. The FTA makes the approval decision.
